Nov 20. Minority shareholders of MGTS are concerned that financing of share buyout of parent company Comstar-OTC could take a toll on MGTS’ FY 2008 dividends. If MGTS allocates a significant amount to buy out Comstar-OTC shares from Leonard Blavatnik, “the company will be drained and we will have no chances left to see any dividends” – one of MGTS minority shareholders said. According to this source, a number of minority shareholders are considering filing a lawsuit seeking to invalidate the transaction to provide loans by MGTS to Comstar-OTC’s affiliates. As reported earlier, the board of MGTS approved a series of loans for over RUB 8 bn at 11.3% to its subsidiaries MGTS Finance, AMT and Petrodvor and a number of other affiliates of Comstar-OTC. A source close to MGTS has suggested that the proceeds could be used by Comstar-OTC to make the payment against a put option exercised by Leonard Blavatnik. By splitting the amount of the provided funds into several loans, MGTS has avoided the need to have the deal approved by the shareholders at an EGM, where Comstar-OTC would be unable to vote, as an interested party.
